ATLANTA, GA – Noble Systems Corporation, and several former employees of Melita International who recently joined Noble Systems, have prevailed in an important early proceeding in a lawsuit filed by Melita International. Melita had attempted to prevent its former employees from working with Noble, or soliciting Melita’s customers or employees. Melita claimed its former employees had violated their employment agreements and used confidential information. Following a lengthy hearing, the trial court on July 3 denied Melita’s claim for a preliminary injunction, holding: “Plaintiff [Melita] has not proven that there is a substantial likelihood that it will prevail on the merits.” Curiously, Melita’s July 10 press release, which announced the filing of the lawsuit, failed to mention that Melita’s claim for injunctive relief had already been denied by the trial court.

“We are very disappointed by the filing of the lawsuit by Melita as well as its subsequent press release,” stated Jim Noble, Chief Executive Officer of Noble Systems. “As the trial judge quickly recognized, Melita’s claims were without merit. We did not even publicize our legal victory, because we prefer competing in the marketplace rather than in the courtroom and we want to keep our sole focus on our customers.”

Steve Schulwolf, who recently joined Noble from Melita, said that he chose to join Noble Systems because Noble Systems is the industry leader and has cutting edge products. About the lawsuit, Mr. Schulwolf said, “We have fully complied with our ethical and legal obligations, and we have not engaged in any of the improper conduct of which Melita complains. We are gratified that the court quickly ruled in our favor, and we have instructed our attorneys to take all necessary action to clear our names.”

The plaintiff in the lawsuit, “Melita International, Inc.,” was formed in May 2003 by Golden Gate Capital, a San Francisco-based private equity investment firm. Golden Gate, through Cayman Island corporations, purchased certain assets from divine, Inc., after financial difficulties forced divine into Chapter 11 bankruptcy. Golden Gate then transferred those assets to a new Delaware corporation based in Georgia.
